The General Counsel will be a vital member of the leadership team of the North American division of Edged Data Centers.  We are looking for someone who will represent the company from a legal perspective in our U.S. based organization in the planning, development, financing, operation and ownership of a portfolio of sustainable data centers across North America.    

The General Counsel needs to be an agile, team-focused individual, with proven professionalism, who is comfortable in a rapidly changing environment. The North American division of Edged is a joint venture between an affiliate of Endeavour and one of the largest private multinational corporations with business lines including technology, energy, engineering, as well as other materially related economic sectors. General Organizational Responsibilities

• Advising executive, senior management and board on various matters such as legal risks and new and existing laws and regulations
• Reviewing and creating draft agreements, such as employment and vendor agreements
• Maintaining knowledge of organization’s operations and legal documents
• Managing general corporate matters and any disputes or litigation
• Preserving all corporate records
• Handling statutory filings, including corporate licensing and regulatory control
• Support the continuous improvement of standard forms and the development and improvement of policies and procedures for the Legal Department
• Managing the company’s use of outside counsel

Tailored Responsibilities in support of Edged’s Data Center Business

• Represent the company on all real estate transactions, including land use and real estate development matters, JV agreements, land acquisitions, compliance requirements, and contractual obligations in North America
• Negotiate complex real estate transactions in a fast-paced environment (including but not limited to build to suit anchor tenant leases)
• Draft, negotiate and finalize purchase and sale agreements
• Draft and review ancillary documents in support of the business and development specifically (including by way of example: amendments, assignments, terminations, easements, license agreements, NDAs, MSAs, brokerage agreements)
• Review all due diligence items, including organizational documents, environmental site assessments, Title commitments, surveys, and easements and handle clong matters when applicable
• Provide directions on a range of real estate issues such as permitting, local zoning and ordinance issues, Power Purchase Agreements, licensing, CC&Rs, mechanics liens, and title and survey issues
• Develop policies, trainings, templates and processes to streamline Company activities in support of land development
• Work closely with the Sales team to handle sub-lease execution issues and landlord/tenant relationships
• Advise and negotiate complex, multi-tiered and multi-jurisdictional master service agreements, and manage the Company’s organization and use of its leasing templates and customer forms
• Negotiate individual leases, colocation licenses, service agreements and other occupancy agreements (including energy and interconnection elements). The lease and deal flow will include everything from Build-to-Suit negotiations to colocation, multi-suite deals to agreements for caged space
• Develop and negotiate construction, development and supplier agreements
• Provide legal support to property operations teams related to customers
• Support the capital needs of the Company with assistance in debt and equity capital raising

• Juris Doctor degree from accredited, top-tier law school; with license in good standing from a minimum of one state bar
• Minimum of 8+ years of practice, preferably at an Amlaw 100 law firm and as in-house counsel
• Strong experience in all aspects of real estate development, including land acquisition, and entitlement, permitting, construction contracting and debt financing  
• Experience with technology-related service agreements, including data center leases and service agreements, is preferred
• Proficiency in equity investments, including joint ventures and fund investments
• Knowledge of energy market transactions and energy regulation  
• Experience with corporate governance issues and corporate secretarial duties
• Excellent verbal and written communication skills
• Detail-focused and team-oriented leader
