The Senior Counsel – Commercial will be a valued member of the Legal team of the North American division of Edged Data Centers. We are looking for an outstanding commercial attorney who can operate independently yet very collaboratively with business leads, the General Counsel, and the senior executive team.

The Senior Counsel – Commercial needs to be an agile, team-focused individual, with proven professionalism, who is comfortable in a rapidly changing environment. The right person is highly organized, detail-oriented, self-motivated, has excellent communication skills, can think strategically, and works equally as well independently as with a team. The United States targeted base salary pay range for this position is: $175,000-$215,000 + bonus (this range will vary by location)

This position is Bonus eligible.
Compensation for the role will depend on a number of factors, including your qualifications, skills, competencies, and experience and may fall outside of the range shown.

Key Responsibilities

Include but are not limited to:

Supporting the Sales team on customer-facing matters, including the negotiation of build-to-suit and colocation leases, master services agreements, and service level agreements
Supporting the Operations team on vendor-facing matters, including contracts for facilities management services, engineering services, and maintenance services
Supporting the Development & Construction team on agreements with contractors and other vendors
Draft, structure, review, negotiate, advise, and close material customer and vendor agreements and strategic partnerships
Maintaining and refining form customer and vendor agreements
Managing outside counsel
Working with business leads, the General Counsel and the senior executive team to continually refine processes
Serving as a trusted thought partner to business leads, the General Counsel, and the senior executive team
Supporting other corporate and commercial matters identified by the General Counsel, as needed
Ensure compliance with relevant regulations, standards, and company policies

Education and Experience

Juris Doctor from an accredited U.S. law school with strong academic credentials
Membership of the Bar of at least one U.S. state or the District of Columbia
7+ years of legal experience, including meaningful experience negotiating commercial contracts
Ideally has supported large-scale data center operators or customers in contract negotiations
All legal experience in the data center/digital infrastructure industry will be viewed positively, including experience with real property matters, construction contracts, and customer and vendor agreements.
